This License Agreement ("Agreement") is between NextStart, represented by Nigel Fahey, whose contact information is [email protected], and the licensee ("Licensee"), in regards to the usage of NextStart digital product, NextStart ("Product"), available at https:nextstart.io ("Website"). By downloading, accessing, or using the Product, the Licensee agrees to be bound by the terms and conditions of this Agreement.
1. Grant of License
1.1 Personal License
Subject to the terms of this Agreement, NextStart grants the Licensee a non-exclusive, non-transferable, and non-sublicensable Personal License to use NextStart for:
- Creating unlimited projects.
- Building and developing applications or websites for personal or commercial use.
1.2 Team License
Subject to the terms of this Agreement, NextStart grants the Licensee a non-exclusive, non-transferable, and non-sublicensable Team License to use NextStart for:
- Creating unlimited projects as part of a team.
- Building and developing applications or websites as part of a team.
- Sharing code with other members of the team.
2. Restrictions
The Licensee shall not:
- Modify, adapt, reverse engineer, decompile, disassemble, or create derivative works based on NextStart.
- Remove or alter any copyright, trademark, or other proprietary notices from NextStart.
- Use NextStart in any manner that violates applicable laws, regulations, or third-party rights.
- Sub-license, rent, lease, or transfer any rights granted under this Agreement.
3. Ownership and Intellectual Property
NextStart retains all ownership and intellectual property rights in and to NextStart. This Agreement does not transfer any ownership rights to the Licensee.
4. Warranty and Disclaimer
NEXTSTART IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.
5. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXTSTART SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR CONNECTED TO THE USE OR INABILITY TO USE NEXTSTART.
6. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of Australia, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be resolved in the courts located in Australia.
7. Entire Agreement
This Agreement represents the entire agreement between NextStart and the Licensee regarding NextStart and supersedes all prior agreements and understandings.
